Terms of Service for RoamSpy

These Terms of Service (the "Agreement") constitute a legally binding contract between you ("User," "you," or "your") and RoamSpy ("RoamSpy," "we," "us," or "our"), governing your access to and use of the RoamSpy website located at roamspy.com (the "Website") and any related services, applications, or features offered by RoamSpy (collectively, the "Services").

1. Acceptance of Terms

Interfering with or disrupting the integrity or performance of the Services or data contained therein. 2.3. User Account. If the Services require you to register an account, you are solely responsible for maintaining the confidentiality of your account credentials and for all activities that transpire under your account. You agree to notify RoamSpy immediately of any unauthorized use of your account.

3. Intellectual Property Rights

3.1. All content, features, and functionality on the Website and Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are the exclusive property of RoamSpy or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. 3.2. This Agreement grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial use, subject to the terms and conditions set forth herein. 3.3. 4. Disclaimers and No Warranties

5. Limitation of Liability

To the fullest extent permissible by applicable law, in no event shall RoamSpy, its affiliates, directors, employees, agents, or licensors be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from: 5.1.1. Your access to or use of, or inability to access or use, the Services. 5.1.2. Any conduct or content of any third party on the Services. 5.1.3. Any content obtained from the Services. 5.1.4. Unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not RoamSpy has been informed of the possibility of such damage.

6. Indemnification

6.1. You agree to defend, indemnify, and hold harmless RoamSpy, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Service or your use of the Services, including, but not limited to, any use of the Website's content, services, and products other than as expressly authorized in these Terms of Service.

7. Termination

7.1. RoamSpy reserves the right to terminate or suspend your access to all or part of the Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms of Service. 7.2. Upon termination, your right to use the Services will immediately cease. 7.3. All provisions of these Terms of Service which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Governing Law and Jurisdiction

8.1. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where RoamSpy is incorporated, without regard to its conflict of law provisions. 8.2. You agree that any legal action or proceeding arising under this Agreement will be brought exclusively in the courts located within that jurisdiction.

9. Miscellaneous Provisions

9.1. Entire Agreement. This Agreement constitutes the entire agreement between you and RoamSpy regarding the Services and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services. 9.2. Severability. If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. 9.3. Waiver. No waiver of any term or condition set forth in this Agreement shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of RoamSpy to assert a right or provision under this Agreement shall not constitute a waiver of such right or provision.
